GENERAL CONDITIONS OF SALE

1. SCOPE OF APPLICATION

These General Terms and Conditions of Sale (GTC) define the rights and obligations of BOTTRAX and the Customer for the products presented and sold by BOTTRAX on its website www.en.bottrax.net (hereinafter "the Website"). They apply exclusively between BOTTRAX, 6 Parc des Fontenelles, 78870 Bailly, France, SIRET: 94311151800016 (hereinafter "BOTTRAX") and any individual consumer visiting or making a purchase via said Website (hereinafter "the Customer"). Any order placed with BOTTRAX therefore implies the Customer's unconditional acceptance of these terms and conditions. These general terms and conditions may be modified at any time and without notice by BOTTRAX; the applicable terms and conditions are those in effect on the date of the Customer's order. These general terms and conditions of sale are permanently accessible at the following address: https://www.en.bottrax.net in a digital format that allows them to be printed and/or downloaded, so that the Customer can reproduce or save them.

2. CUSTOMER OBLIGATIONS

2.1. The Customer declares that they are at least 18 years old and have the legal capacity or parental authorization to place an order on the Website.

2.2. The Customer undertakes to provide BOTTRAX with the accurate and necessary information required to perform the service covered by these terms and conditions, as requested online and according to their situation, including their first and last name, address, telephone number, and valid email address. The Customer is responsible for the consequences of providing false or inaccurate information, or information whose use is unlawful.

2.3. Once the order has been placed, BOTTRAX will send the Customer an email confirming its completion. It informs the Customer of the shipment of the Products.

2.4. The Customer may modify their information in the "Account" section.

3. ORDER AND PRE-ORDER

3.1. Any order will only be validated after payment has been accepted.

3.2. BOTTRAX reserves the right to cancel or refuse an order in the event of a dispute with the Customer regarding a previous order.

3.3. BOTTRAX may accept orders within the limits of production capacity and any available stock. It informs the Customer of the launch of production of the Product(s) sold on the Website at the time of order confirmation.

If, despite BOTTRAX's vigilance, the products are unavailable for manufacture and sale, BOTTRAX will inform the Customer by email as soon as possible. The Customer may then cancel their order and receive a refund, if applicable, of any amounts already paid.

BOTTRAX shall not be held liable for any permanent or temporary unavailability, nor shall it give rise to any right to compensation or damages in favor of the Customer.

4. PRICES

The prices displayed on the Website are indicated in euros, including all French taxes (French VAT), shipping costs, order processing fees, and packaging costs for mainland France. Prices may be modified at any time, without notice, particularly in the event of changes in tax or economic data. Items will be invoiced based on the prices in effect at the time the order is placed.

5. DELIVERY

BOTTRAX delivers its Products in mainland France and can deliver to any country in the European Union upon request (additional shipping costs apply). Products are shipped to the delivery address indicated by the Customer when ordering. Delivery cannot be made to PO boxes. The delivery times indicated on the website are indicative, corresponding to average processing, manufacturing, and delivery times. To ensure these deadlines are met, the Customer must ensure that they have provided accurate and complete information regarding the delivery address (such as, but not limited to: street number, building number, stairway number, access codes, names and/or intercom numbers, etc.). BOTTRAX undertakes to inform the Customer of the progress of their order. The Customer acknowledges that, in the case of a pre-order, the delivery time will be extended. The estimated delivery time is indicated on the product sheet at the time of purchase and in the order confirmation email. Delivery times depend on the time required and the production volume of all pre-ordered products.

Deliveries of products sold from stock will take place within 2 to 10 days to the address indicated by the Customer when ordering on the website, depending on the delivery country.

Delivery consists of the transfer to the Customer of physical possession or control of the Product. Except in special cases or in the event of unavailability of one or more Products, the ordered Products will be delivered in a single delivery.

If the ordered Products have not been delivered within 10 days after the indicative delivery date, for any reason other than force majeure or the Customer's actions, the sale may be terminated at the Customer's written request under the conditions set out in Articles L 216-2, L 216-3, and L241-4 of the French Consumer Code. The amounts paid by the Customer will then be returned to the Customer no later than fourteen days following the date of termination of the contract, excluding any compensation or withholding. If the order is returned to the sender, the Seller will offer either a refund or reshipment.

In the event of reshipment, the shipping costs will be borne by the Customer.

Deliveries are handled by an independent carrier to the address provided by the Customer when ordering, which the carrier can easily access.

In the event of a specific request from the Customer regarding the packaging or shipping conditions of the ordered products (e.g., delivery outside mainland France), duly accepted in writing by the Seller, the related costs will be subject to a specific additional invoice, based on a quote previously accepted in writing by the Customer.

The Customer is required to check the condition of the delivered products. The Customer has a period of 3 days from delivery to submit complaints by email, accompanied by all relevant supporting documentation (including photos). After this period, and if these formalities are not complied with, the Products will be deemed compliant and free from any apparent defects, and no complaints will be validly accepted by the Seller.

The Seller will promptly refund or replace, at its own expense, any delivered Products whose lack of conformity or apparent or hidden defects have been duly proven by the Customer, under the conditions set forth in Articles L 217-4 et seq. of the French Consumer Code and those set forth in these General Terms and Conditions.

The transfer of the related risks of loss and damage will only take place when the Customer physically takes possession of the Products. The Products therefore travel at the Seller's risk, unless the Customer has chosen the carrier. As such, the risks are transferred upon delivery of the goods to the carrier.

BOTTRAX cannot be held responsible for the consequences of a delay in delivery that is not its fault.

6. PAYMENT

Full payment must be made at the time of ordering. At no time may the amounts paid be considered a deposit or down payment. The Customer pays for their order by credit card (Visa, Eurocard/Mastercard), using their Google Pay account, in accordance with the provisions of this article. BOTTRAX does not accept any other payment methods. The Customer must use the other payment methods offered. For all transactions, the Customer must provide the number on the front of their card, the expiration date, and the security code on the back. Providing their credit card number constitutes authorization for BOTTRAX to debit their account for the amount of their order. BOTTRAX retains ownership of the item until the Customer has paid the full price. Purchases are made securely. The payment solutions used by BOTTRAX are 100% secure. For payments by credit card (Carte Bleue, Carte Bleue Visa, and e-Carte Bleue), all information provided by Customers to BOTTRAX is strictly protected and guarantees the compliance and security of each transaction.

7. PRODUCT RETURNS AND REFUNDS

Right of Withdrawal

Within thirty (30) days of receiving their order, the Customer may request the return of the Product(s) from BOTTRAX. If the Customer returns from France, the French Overseas Territories, or from abroad, they must return the Product(s) at their own expense, except in the case where they received a product with a manufacturing defect or that does not correspond to the Customer's initial order. In this case, the Customer must contact customer service at contact@bottrax.net. Returns are at the Customer's risk. The Product must be returned in its original packaging and in its original, new condition. Please send your return to the following address: BOTTRAX – Returns 6 Parc des Fontenelles - 78870 Bailly - France If the Customer fails to comply with these conditions, in particular the return conditions, BOTTRAX will not be able to refund or issue a credit note for the Products concerned.

8. WARRANTIES AND LIABILITY

BOTTRAX has only a best-efforts obligation for all stages of access to the Site, from the ordering process to the shipment of the package or subsequent services. BOTTRAX shall not be held liable for any inconvenience or damage inherent in the use of the Internet, including service interruptions, external intrusions, the presence of computer viruses, or any event deemed force majeure, in accordance with the law and case law.

9. INTELLECTUAL PROPERTY

Under no circumstances is the Customer authorized to download or modify all or part of the Site, including its content (listed products, descriptions, images, videos, etc.). This Site or any part of it may not be reproduced, copied, sold, or exploited for commercial purposes without the express written permission of BOTTRAX. Generally speaking, all copyrights, trademarks, and other distinctive signs and proprietary or intellectual property rights appearing on the Site shall remain the full and complete property of BOTTRAX. The Customer is therefore required to respect intellectual property rights and may not use the trademarks appearing on the Site and on the Products, where applicable, or register any trademark that would be prejudicial to the rights holder, unless otherwise provided in the contract. The same applies to any other intellectual property rights.

10. FORCE MAJEURE

In the event of a force majeure event, the affected party must notify the other party within fifteen (15) days of the occurrence of the event, by registered letter with acknowledgment of receipt. In addition to those usually recognized by the case law of French courts and tribunals, the following are expressly considered to be cases of force majeure or unforeseeable circumstances: total or partial strikes, lockouts, riots, boycotts or other industrial actions or commercial disputes, civil unrest, insurrection, war, severe weather, epidemics, blockages of means of transport or supplies for any reason whatsoever, earthquakes, fires, storms, floods, water damage, governmental or legal restrictions, legal or regulatory changes to marketing practices, computer failures, telecommunications blockages, including wired or wireless telecommunications networks, and any other event beyond the control of the parties that prevents the normal performance of the contractual relationship. All obligations of the parties will be suspended for the entire duration of the force majeure event, without compensation. If the force majeure event continues for more than three (3) months, the contract in question may be terminated automatically without compensation for either party.

11. GENERAL PROVISIONS

11.1. Partial Invalidity of a Clause. If any provision of these terms and conditions is declared null or unenforceable by a competent court, it shall be declared unwritten and shall not invalidate the other provisions. 11.2. Update. These general terms and conditions may be modified at any time and without notice by BOTTRAX. The applicable conditions shall be those in effect on the date of the Customer's order. 11.3. Applicable Law - Competent Court. These general terms and conditions are subject to French law with regard to both substantive and procedural rules. Any dispute must be subject to a prior attempt at amicable settlement. In the absence of an amicable settlement, jurisdiction shall be assigned to the competent French courts, notwithstanding multiple defendants or third-party claims.

11.4. : Reproduction of the applicable texts (Order 2005-136 of February 17, 2005, Consumer Code, Civil Code) Art. L. 211-4 of the Consumer Code. The seller is required to deliver goods that comply with the contract and is liable for any lack of conformity existing at the time of delivery. The seller is also liable for any lack of conformity resulting from the packaging, assembly instructions, or installation when the latter was the seller's responsibility under the contract or was carried out under the seller's responsibility. Art. L. 211-5 of the Consumer Code: - To comply with the contract, the goods must:

1° Be fit for the use normally expected of similar goods and, where applicable: - correspond to the description given by the seller and possess the qualities that the seller presented to the Customer in the form of a sample or model; - present the qualities that a Customer can legitimately expect given the public statements made by the seller, the manufacturer, or their representative, particularly in advertising or labeling; 2° Or present the characteristics defined by mutual agreement between the parties or be suitable

for any special use sought by the Customer, brought to the attention of the seller and accepted by the latter. Art. L. 211-12 of the French Consumer Code. Actions resulting from lack of conformity are time-barred after two years from delivery of the goods. Art. 1641 of the French Civil Code. The seller is bound by the warranty for hidden defects in the item sold that render it unfit for its intended use, or that so diminish this use that the Customer would not have purchased it, or would have paid a lower price for it, had they been aware of them. Art. 1648, paragraph 1 of the French Civil Code. Actions resulting from latent defects must be brought by the purchaser within two years from the discovery of the defect.

12. PERSONAL DATA

Your personal information and data are necessary to manage your orders and maintain our business relationships. They may be shared with companies that contribute to these relationships, retained to comply with legal and regulatory obligations, and to enable us to improve and personalize our services.

In addition, BOTTRAX retains your personal data for limited periods, depending on the nature of the personal data collected, the purpose of the collection, and our legal and regulatory obligations. BOTTRAX may send you information by postal mail about its products and services that we believe may interest you. If you do not wish to receive mail from us, you can always unsubscribe using the provided methods.

BOTTRAX may also send you, after obtaining your consent, information by SMS and email about products that we believe may interest you.

If you have agreed to receive these marketing communications, you can always unsubscribe at a later date. To this end, we include a method for immediate unsubscription in each marketing email and SMS.

In accordance with the French Data Protection Act of January 6, 1978, you have the right to access, rectify, object to, and delete your personal data.
